All information, tools, features and functionality (together the "Service") located on http://traderscockpit.com website constitute an "invitation to offer" and applies to you, whether you are a "Visitor" (which means that you simply browse the TradersCockpit.com website) or you are a "Member" (which means that you have registered with TradersCockpit.com). The term "you" or "User" refers to a Visitor or a Member. The term "we" refers to TradersCockpit.com. ,br> In using the service of traderscockpit.com, you agree to be bound by this agreement as well as any of its amendments from time to time in the future and you are deemed to have accepted the terms and conditions listed below and you represent that you have the capacity to be bound by it.

You hereby agree and Confirm that
a. we hereby reserve the right to cancel any service without providing any reason. This will be regardless of whether the payment has been confirmed / received. Rescheduled dates of the service will be informed by email. Payment for the cancelled services will be refunded and the user will be informed. Refund can sometimes take unto 21 days to take effect.
b. The user agrees to give the correct information which is true and authentic. We reserve the right to confirm the information provided by the user. We also reserve the right to disallow any user to use this website and may reject / cancel the booking of service without providing any reason whatsoever.
c. We will not be held liable for any credit card fraud that occurs on its website. Users have to use only their card when they make their payments. The liability of using a fraudulent credit card lies on the user and the responsibility to establish otherwise shall exclusively be the users’.
d. We will not be responsible for any delay of the service days because of flood, fire, wars, act of God or for any reason that are beyond our control.

Terms of the Services Regarding Setting up of Screeners, Strategy Labs, Trading Systems etc
All Instructions in relation to the Services shall be issued to/by the Customer through the Website or, Customer Care Number or, Submission of physical request forms or email by TradersCockpit.com or in any other manner as may be specified by TradersCockpit.com from time to time. The Customer agrees and acknowledges that any Instruction given or purported to be given to/by him/her is at his/her risk and TradersCockpit.com is only providing the software platform for implementation of the same.TradersCockpit.com may at its discretion not carry out any setups where TradersCockpit.com has reasons to believe that the instructions are not genuine or are otherwise improper or unclear or raise a doubt. TradersCockpit.com shall not be liable if any instructions are not carried out for any of the reasons stated herein. All records of TradersCockpit.com generated by the transactions arising out of use of the Services shall be conclusive proof of the genuineness and accuracy and time of submission of the Instructions/recommendations.

Cancellation Policy
You hereby agree that your service is immediately activated on placing the order on our site and therefore cancellations will be considered only if the request is made within 24 hours of placing an order. However, you confirm that the cancellation request will not be entertained if the customer has already started use of our software including screeners, watchlist and strategy labs.

Refund Policy
You hereby agree that refunds are not being provided for services delivered such as use of any our software including screeners, watchlist and strategy labs or any other knowledge base provided by us and that refunds are being processed within 21 days period only for order cancelled within stipulated time period.

Card Details
You agree, understand and confirm that the credit card details provided by you for availing of services of traderscockpit.com will be correct and accurate and you shall not use the credit card which is not lawfully owned by you, i.e. in a credit card transaction, you must use your own credit card. You further agree and undertake to provide the correct and valid credit card details to traderscockpit.com. Further the said information will not be utilized and shared by traderscockpit.com with any of the third parties unless required for fraud verifications or by law, regulation or court order. traderscockpit.com will not be liable for any credit card fraud.The liability for use of a card fraudulently will be on you and the onus to 'prove otherwise' shall be exclusively on you.

Fraudulent /Declined Transactions
TradersCockpit.com reserves the right to recover the cost of service charges and lawyers fees from persons using the Site fraudulently. TradersCockpit.com reserves the right to initiate legal proceedings against such persons for fraudulent use of the Site and any other unlawful acts or acts or omissions in breach of these terms and conditions.

Electronic Communications
When you visit the Site or send emails to us, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by email or by posting notices on the Site. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

Advertising
TradersCockpit.com does not accept returns for online advertising services. Advertisement placements will not be pro-rated or refunded. Upon cancellation of the advertisement placement, the advertisement will be removed from www.TradersCockpit.com. Advertisement placements can be transferred to a different approved advertisement. All sales are final because advertisements begin appearing on www.TradersCockpit.com as soon as approved. Please preview your advertisement before you buy to make sure that the advertisement is accurate and worth the advertisement placement fee.

The contents of TradersCockpit.com, including its graphic user interface & design (e.g., text, graphics, images, logos and button icons), photographs, editorial content, notices, software (including html- based computer programs) are property of TradersCockpit.com. The contents of TradersCockpit.com belong or are licensed to TradersCockpit.com or its software or data or content suppliers. TradersCockpit.com grants you the right to view and use TradersCockpit.com subject to these terms. Any distribution, reprint or electronic reproduction of any content from TradersCockpit.com in whole or in part for any other purpose is expressly prohibited. The Customer acknowledges that the software underlying the Website as well as other Internet related software which are required for accessing TradersCockpit.com’ Online Services are the legal property of the TradersCockpit.com and/or its vendors or contractors. The Terms underlying this agreement will not convey any proprietary or ownership rights in the above software. The Customer agrees that he/she shall not attempt to modify, translate, disassemble, decompile or reverse engineer the software underlying the Website or create any derivative product based on the software. The Customer further agrees not to use the name, logo or mark of TradersCockpit.com or its parent company Gumption Labs Software Services Pvt. Ltd., and any related patent, trademarks and service marks applications, design rights, copyrights, and all or any similar or equivalent rights arising or subsisting in any country in the world.

Termination/Un-Registration of Services
(a) The Customer may choose to terminate/un-register the Online Services by submission of written request for the same.
(b) TradersCockpit.com may, at its discretion, withdraw temporarily or terminate the Services, either wholly or in part, at any time without giving prior notice to the Customer. TradersCockpit.com may, without prior notice, suspend the Services at any time during which any maintenance work or repair is required to be carried out or in case of any emergency or for security reasons, which require the suspension of the Services. TradersCockpit.com shall endeavor to give a reasonable notice for withdrawal or termination of the Services.
(c) The closure of the Account of the Customer will automatically terminate the Services. TradersCockpit.com may suspend or terminate the Services without prior notice if the Customer has breached these Terms and Conditions or TradersCockpit.com learns of the death, bankruptcy or lack of legal incapacity of the Customer or in case there is any change in the account holders. In such event the Services may be restarted by following the process and submission of such documents as specified by TradersCockpit.com in this regard.

Your Use of the Service
Your right to access and use TradersCockpit.com and the Service is personal to you and is not transferable by you to any other person or entity.
You must provide true, accurate, current and complete information about your accounts maintained at other web sites, as requested in our "add account" setup forms, and you may not misrepresent your Registration Information. In order for the Service to function effectively, you must also keep your Registration Information up to date and accurate. If you do not do this, the accuracy and effectiveness of the Service to you will be affected.

These alerts allow you to choose alert messages for your accounts. TradersCockpit.com may add new alerts from time to time, or cease to provide certain alerts at any time upon its sole discretion. If your email address or your mobile device email address changes, you are responsible for informing us of that change. You can also choose to have alerts sent to a mobile device that accepts text messages. Changes to your email address or mobile number will apply to all of your alerts. Because alerts are not encrypted, we will never include your password. However, alerts may include your TradersCockpit.com Login ID and some information about your accounts. Depending upon which alerts you select, relevant financial information may be included. Anyone with access to your email will be able to view the content of these alerts. At any time you may disable future alerts.

Rights You Grant to Us

You agree to defend, indemnify and hold harmless traderscockpit.com, its employees, directors, officers, agents and their successors and assigns from and against any and all claims, liabilities, damages, losses, costs and expenses, including attorney's fees, caused by or arising out of claims based upon your actions or inactions, which may result in any loss or liability to traderscockpit.com,any third party including but not limited to breach of any warranties, representations or undertakings or in relation to the non-fulfillment of any of your obligations under this User Agreement or arising out of the your violation of any applicable laws, regulations including but not limited to Intellectual Property Rights, payment of statutory dues and taxes, claim of libel, defamation, violation of rights of privacy or publicity, loss of service by other subscribers and infringement of intellectual property or other rights.
In consideration of TradersCockpit.com providing the Services, the Customer, at his own expense, agrees to indemnify, defend and hold harmless, TradersCockpit.com, its directors and employees, representatives, agents, vendors and contractors, as the case may be, against all losses, damages, expenses, actions, claims, demands and proceedings whatsoever, that customers may incur, sustain, suffer or be put to at any time as a consequence of acting on or omitting or refusing to act on any Instructions given by the TradersCockpit.com or otherwise for use of the Services.

Disclaimer of Recommendations, Representations and Warranties

(b) TradersCockpit.com shall endeavor to provide the Online Trading System/Screener/Strategy Labs Services on a best effort basis and the Customer shall not hold TradersCockpit.com liable for non-availability of the Services or non-performance by service providers/ vendors, if any, engaged by TradersCockpit.com or any loss or damage caused to the Customer as a result of use of the Online Trading System/Screener/Strategy Labs Services for causes which are not attributable to TradersCockpit.com. TradersCockpit.com shall not be liable in any manner to the Customer in connection with the use of the Online Trading System/Screener/Strategy Labs Services. Without limitation to the other provisions of this terms and conditions, TradersCockpit.com, its employees, agent, vendors or contractors, shall not be liable for and in respect of any loss or damage whether direct, indirect or consequential, including but not limited to loss of revenue, profit, business, contracts, anticipated savings or goodwill, loss of use or value of any equipment including software, whether foreseeable or not, suffered by the Customer or any person howsoever arising from or relating to any delay, interruption, suspension, resolution or error of TradersCockpit.com in receiving and processing any Instruction or any failure, delay, interruption, suspension, restriction, or error in TradersCockpit.com's system and/or any third party who provides such services as is necessary to provide the Services. Notwithstanding anything in the contrary provided in this terms and conditions, TradersCockpit.com shall not be involved in or in any way liable to the Customer for any dispute between the Customer and the Mutual Fund/Asset Management Company or any other third party company/ vendor whose products/services have been purchased/ availed by use of the Online Trading System/Screener/Strategy Labs Services.
(c) The Customer agrees that TradersCockpit.com may hold and process his personal information concerning his Account on computer or otherwise in connection with the Online Trading System/Screener/Strategy Labs Services & analyze the information to improve its ratings, Trading System/Screener/Strategy Labs algorithms, marketing efforts & enhance the overall service levels & offerings . The Customer also agrees TradersCockpit.com may disclose, in strict confidence, to other institutions, such information as may be reasonably necessary for reasons of fraud prevention, for complying with legal directive, statutory reporting, etc. as per regulations of Government of India, SEBI, NSE, BSE, MCX and all concerned authorities.
(d) TradersCockpit.com will not be liable for:
(A) acting in good faith on any instructions received by TradersCockpit.com from or on behalf of the Customer in relation to the Online Trading System/Screener/Strategy Labs Services;
(B) error, default, delay or inability of TradersCockpit.com to act on all or any of the Instructions given by the Customer
(C) loss of any information/instructions in transmission;
(D) unauthorized access by any other person to any information /instructions given by the Customer or breach of confidentiality;

Disclaimer FOR Trading Analysis Products
The Customer acknowledges the risk factors & agrees to have understood the following -
All securities Trading System/Screener/Strategy Labs systems are subject to market risks and there can be no assurance that the user's objectives will be achieved and the value of the securities may go up or down depending upon the factors and forces affecting the securities market.
Past performance of the Securities Markets do not indicate the future performance of the Securities of any Exchange/Markets.
There is no assurance or guarantee to users nor are they offered any guaranteed / assured returns. The value of the securities may be affected, inter-alia by changes in the interest rates, trading volumes in relevant Stock Exchanges, settlement periods, transfer procedures and performance of individual securities and inter-alia be exposed to Price / Interest Rate Risk and Credit Risk.


Accuracy of Information
The Customer undertakes to provide accurate and complete information wherever required and shall be solely responsible for the correctness and completeness of information provided by him to TradersCockpit.com at all times, including, but not limited to, the Instructions for the purposes of availing of the Online Trading System Services. TradersCockpit.com shall not be liable for consequences arising out of erroneous information supplied by the Customer. If the Customer suspects that there is an error in the information supplied by TradersCockpit.com to him, he/she shall advise TradersCockpit.com as soon as possible. TradersCockpit.com will endeavor to correct the error wherever possible on a best effort basis. While TradersCockpit.com will take all reasonable steps to ensure the accuracy of the information supplied to the Customer, TradersCockpit.com shall not be liable against any loss, damages, etc. for any inadvertent error, which results in the providing of inaccurate information.

Limitations of Service & Disclaimer
The Customer acknowledges & agrees to the following -
(a) Information, Data, Portfolio or Trading System/Screener/Strategy Labs’ Performance Tracking/ Review/ Analysis/ Diagnosis/ Suggested Steps/ Recommendations & their visual interpretation is provided for the purpose of simplification, assistance & helping users understand various financial products. TradersCockpit.com uses its own technology on the Website to achieve the purpose of comparison using technical analysis and rating techniques. The data about past returns, images, graphics, terminologies including but not limited to labels are for communication purpose only and they should not be construed as trading advice of purchase or sell, guarantee of returns through capital appreciation, dividend or interest receivable. Alteration to Pricing, if any
TradersCockpit.com offers multiple suites of services to its Customers. Some of them are free at present while some of it are paid for. It is specifically informed to the Customer that TradersCockpit.com shall have the discretion to alter the pricing structure, if & as it may deem fit in future and may at its sole discretion, revise the fees for use of any or all of the Services, by notifying the Customer of such revision through the Website or in any manner as may be specified by TradersCockpit.com from time to time. The Customer shall be required to refer to the schedule of fees put up on the Website from time to time.

Alerts & Notices
TradersCockpit.com and the Customer may give notice under these Terms and Conditions electronically to the mailbox of the Customer (which will be regarded as being in writing) or in writing by delivering them by hand or by sending them by post to the registered address of the Customer, last recorded with TradersCockpit.com and in case to TradersCockpit.com at its office at 497, Ground Floor, 8th Cross, JB Nagar Main Road, HAL IIIrd Stage, Bangalore - 560075. In addition, TradersCockpit.com shall also provide notice of a general nature, transaction-related, promotions or otherwise regarding the Online Trading System/Screener/Strategy Labs Services and the Terms and Conditions, which are applicable to all Customers using the Online Trading System/Screener/Strategy Labs Services, on its Website and/ or also by means the customized messages sent to the Customer over his mobile phone as SMS or other mode as may be deemed fit by TradersCockpit.com. Such notice will be deemed to have been served individually to each Customer and should not be construed as SPAM. TradersCockpit.com may or may not allow Customers to opt-out of Communication, where the availability of Opt-in or Opt-out shall entirely be at the discretion of TradersCockpit.com.

Termination of this Agreement
TradersCockpit.com may at any time, terminate its legal agreement with you:
a.if you have breached any provision of this Agreement (or have acted in a manner which clearly shows that you do not intend to, or are unable to comply with the provisions of this Agreement);
b.if TradersCockpit.com in its sole discretion believes it is required to do so by law

Modifications of this Agreement
TradersCockpit.com may modify this Agreement from time to time. Any and all changes to this Agreement will be posted on the TradersCockpit.com site. TradersCockpit.com shall have the absolute discretion to amend or supplement any of the Terms and Conditions, features and benefits in relation to the Services. TradersCockpit.com shall communicate the amended Terms and Conditions by hosting the same on the Website only. The Customer shall be responsible for regularly reviewing these Terms and Conditions, including amendments thereto as may be posted on the Website and shall be deemed to have accepted the amended Terms and Conditions by choosing to continue the use the Online Trading System/Screener/Strategy Labs Services. Any change in the Terms and Conditions shall be communicated to the Customer, in the manner as aforesaid, within reasonable time period before the date of their implementation. You are deemed to accept and agree to be bound by any changes to the Agreement when you use the Service after those changes are posted.

Governing Law and Jurisdiction
This User Agreement shall be construed in accordance with the applicable laws of India. The courts at Bangalore shall have exclusive jurisdiction in any proceedings arising out of, under or in relation to this agreement with TradersCockpit.com, or its officers, directors, employees, investors, agents or affiliates. Any dispute or difference either in interpretation or otherwise, of any terms of this User Agreement between the parties hereto, the same shall be referred to an independent arbitrator who will be appointed by traderscockpit.com and his decision shall be final and binding on the parties hereto. The above arbitration shall be in accordance with the Arbitration and Conciliation Act, 1996 as amended from time to time. The arbitration shall be held in Bangalore. The High Court of judicature at Bangalore alone shall have the jurisdiction and the Laws of India shall apply. You understand that, in return for agreement to this provision, TradersCockpit.com is able to offer the Service at the terms designated, with or without charge to you, and that your assent to this provision is an indispensable consideration to this Agreement.

Miscellaneous
All covenants, agreements, representations and warranties made in this Agreement shall survive your acceptance of this Agreement and the termination of this Agreement.

Limitations on Liability
TradersCockpit.com SHALL IN NO EVENT BE RESPONSIBLE OR LIABLE TO YOU OR TO ANY THIRD PARTY, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, LIQUIDATED OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFIT, REVENUE OR BUSINESS, ARISING IN WHOLE OR IN PART FROM YOUR ACCESS TO TradersCockpit.com, YOUR USE OF THE SERVICE OR THIS AGREEMENT, EVEN IF TradersCockpit.com HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THIS AGREEMENT, TradersCockpit.com’S LIABILITY TO YOU FOR ANY CAUSE WHATEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO NIL.
You accept that TradersCockpit may periodically send promotional email or SMS about new products, special offer or other information which we think you may find interesting to the email address and mobile number that you provided. From time to time, we may also use your information to contact you for market research purposes. We may contact you by email, SMS, call or mail. We may use your information to customize the website/app according to your interest or to contact you via email, text message or call to deliver certain services and information you've requested.
